These Terms of Use (hereinafter referred to as "the Terms") stipulate the terms of use of the online shop (hereinafter referred to as "the Service") provided on this website by Good Spice Co., Ltd. (hereinafter referred to as "the Company"). Registered users (hereinafter referred to as "Users") must use the Service in accordance with these Terms.

Article 1 (Scope and changes to these Terms of Use)

  1. These Terms and Conditions shall apply to all relationships between the User and our company regarding the use of this Service.
  2. In addition to these Terms, the Company may make various provisions regarding the Service, such as rules for use (hereinafter referred to as "Individual Provisions"). Regardless of their name, these Individual Provisions shall constitute part of these Terms.
  3. In the event that the provisions of these Terms and Conditions conflict with the provisions of the Individual Provisions in the preceding paragraph, the provisions of the Individual Provisions shall take precedence, unless otherwise specified in the Individual Provisions.

    Article 2 (User Registration)

    1. For this service, registration will be completed when the person wishing to register agrees to these terms and conditions, applies for registration in a manner specified by our company, and our company notifies the person wishing to register of its approval.
    2. If the Company determines that an applicant for registration meets any of the following criteria, the Company may not approve the application for user registration and shall not be obligated to disclose the reasons therefor.
      1. If false information is provided when applying for user registration
      2. If the application is from someone who has previously violated these terms and conditions
      3. Any other case in which the Company determines that registration is inappropriate

    Article 3 (Management of User ID and Password)

    1. Users shall manage their user IDs and passwords for this service at their own responsibility.
    2. Under no circumstances may the User transfer or lend his/her user ID and password to a third party, or share them with a third party. If the combination of a user ID and password matches the registered information and is used to log in, the Company will consider that the user ID is being used by the user who registered it.
    3. We shall not be liable for any damages arising from the use of your user ID and password by a third party, except in cases where such damages are caused by our willful misconduct or gross negligence.

      Article 4 (Sales Contract)

      1. In this service, a sales contract is established when a user applies to purchase a product to our company and our company notifies the user that the application has been accepted. The ownership of the product is transferred to the user when the product is handed over to the user by the delivery company entrusted by our company to deliver the product.
      2. If the user falls under any of the following circumstances, the Company may cancel the sales contract under the preceding paragraph without prior notice to the user. If the Company cancels the sales contract with the user based on this paragraph, the Company will not refund the price of the product received from the user. Please note that if the user requests re-delivery of the product, a separate fee set by the Company will be required.
        1. If the user violates these terms and conditions
        2. If the delivery of the product cannot be completed due to an unknown address or a long absence
        3. Any other case where we deem that the trust between our company and the user has been damaged.
      3. Payment methods, delivery methods, purchase cancellation methods, return methods, etc. related to this service will be determined separately by our company.
      4. In consideration of the fact that the Products are frozen foods, when submitting an application for purchase to the Company, Users must ensure that they have a freezer or other storage space available before making the application. Furthermore, if Users specify delivery options such as leaving the Product at their door, they do so at their own risk.

        Article 5 (Intellectual Property Rights)

        The copyright and other intellectual property rights of the product photos and other content (hereinafter referred to as "Content") provided by this Service belong to the legitimate rights holders, such as our company and the content providers, and Users may not reproduce, reprint, modify, or otherwise use the Content without permission.

          Article 6 (Prohibitions)

          1. When using this service, users must not engage in the following acts.
            1. Actions that violate laws, regulations, or public order and morals
            2. Any activity related to criminal activity
            3. Any act of infringing copyrights, trademarks or other intellectual property rights contained in the Service
            4. Any act that disrupts or interferes with the functioning of our servers or networks
            5. Commercially using information obtained through this service
            6. Any act that may disrupt the operation of our services
            7. Unauthorized access or attempted access
            8. Collecting or storing personal information about other users
            9. Impersonating other users
            10. Any act of directly or indirectly providing benefits to antisocial forces in relation to our services
            11. Any other actions that the Company deems inappropriate
          2. The determination of whether or not an act constitutes a prohibited act under the preceding paragraph shall be made at our discretion, and we shall not be held responsible for the criteria for such determination.
          3. If the Company determines that a User's conduct falls under any of the items in Paragraph 1, the Company may take any or all of the following measures without prior notice.
            1. Restrictions on Use of the Service
            2. Termination of this Agreement under these Terms
            3. Other actions that the Company deems necessary
          4. The Company shall not be liable for any damages incurred by the User as a result of the measures set forth in the preceding paragraph.

          Article 7 (Suspension of provision of the Service, etc.)

          1. If the Company determines that any of the following circumstances exist, the Company may suspend or interrupt the provision of all or part of the Service without prior notice to the User.
            1. When carrying out maintenance, inspection, or updates of computer systems related to the Service
            2. When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning strikes, fires, power outages, or natural disasters
            3. When a computer or communication line is stopped due to an accident
            4. Any other case in which the Company determines it is difficult to provide the Service.
          2. We shall not be liable for any disadvantage or damage suffered by the user or a third party, regardless of the reason, due to the suspension or interruption of the provision of this service.

          Article 8 (Restrictions on Use and Cancellation of Registration)

          1. If a User falls under any of the following items, we may, without prior notice, restrict the User's use of all or part of the Service or cancel the User's registration as a User.
            1. If you violate any provision of these Terms and Conditions
            2. If it is discovered that there is a false statement in the registration information
            3. If the credit card registered by the user as a payment method is suspended
            4. If there is a default in payment obligations such as fees

          2. The Company shall not be liable for any damages incurred by the User as a result of any actions taken by the Company under this Article.

          Article 9 (Withdrawal)

          Users may cancel their membership (cancel the contract) from this service by following the cancellation (contract cancellation) procedures specified by our company.

            Article 10 (Disclaimer of Warranties and Disclaimers)

            1. The Company does not guarantee that the Service is free from factual or legal incompatibilities (including defects regarding safety, reliability, accuracy, completeness, validity, suitability for a particular purpose, security, etc., errors or bugs, infringement of rights, etc.).
            2. The Company shall not be liable for any damages incurred by the User through the Service unless there is any willful or gross negligence on the part of the Company. However, if the contract between the Company and the User regarding the Service based on these Terms and Conditions is a consumer contract as defined in the Consumer Contract Act, this disclaimer shall not apply. Even in this case, the Company shall not be liable for any damages incurred by the User due to special circumstances (damages that the Company foresaw or could have foreseen) caused by default or tort due to the Company's negligence (excluding gross negligence).
            3. The Company shall not be liable for any transactions, communications, disputes, etc. that arise between a user and another user or a third party in relation to the Service.
            4. We do not guarantee the expected delivery date of any product.

            Article 11 (Changes to Service Content, etc.)

            We reserve the right to change the content of this Service or to discontinue providing this Service without notifying the User, and shall not be liable for any damages incurred by the User as a result thereof.

            Article 12 (Changes to Terms of Use)

            1. In the event that any of the following items apply, the Company may change these Terms at any time pursuant to the provisions of Article 548-4 of the Civil Code. After these Terms are changed, the revised Terms shall apply to this Agreement.
              1. When changes to these Terms and Conditions are in the general interest of users.
              2. When the change to these Terms and Conditions does not contradict the purpose of this Agreement and is reasonable in light of the need for the change, the appropriateness of the content after the change, and other circumstances related to the change.
            2. If the Company makes any changes to these Terms and Conditions, the Company will determine the date when the revised Terms and Conditions will come into effect, and will notify Users of the content of the revised Terms and Conditions and the date when they will come into effect at least two weeks prior to the date when they come into effect, and will inform Users of such content by displaying it on the Service or by other means specified by the Company.
            3. Notwithstanding the provisions of the two preceding paragraphs, if a User uses the Service after the changes to these Terms and Conditions have been notified in the preceding paragraph or if the User does not take the cancellation procedure within the period specified by our company, the User will be deemed to have agreed to the changes to these Terms and Conditions.

            Article 13 (Handling of Personal Information)

            1. We will handle personal information obtained through the use of this service appropriately in accordance with our separate Privacy Policy.
            2. If the data entered into the Service contains personal information, the Company will not use it for any purpose other than providing the Service, and will take reasonable safety control measures to protect the information from risks such as loss, destruction, falsification, and leakage, in accordance with the Act on the Protection of Personal Information and the Privacy Policy, and will manage the information strictly.

            Article 14 (Notice or Contact)

            Any notice or communication between the user and our company shall be made in the manner specified by our company. Unless the user notifies us of any changes in accordance with the method separately specified by our company, our company will consider the currently registered contact information to be valid and will notify or contact the user via that contact information, and such notice or communication will be deemed to have reached the user at the time of sending.

            Article 15 (Prohibition of Transfer of Rights and Obligations)

            Users may not transfer or pledge as security to a third party their status under the Service Agreement or their rights or obligations under these Terms and Conditions without our prior written consent.

            Article 16 (Governing Law and Jurisdiction)

            1. The interpretation of these Terms and Conditions shall be governed by Japanese law.
            2. In the event of a lawsuit being filed regarding a dispute arising in relation to the Service, the court having jurisdiction over the location of our head office shall be the court of exclusive jurisdiction.
            3. In the event of a request for arbitration regarding a dispute arising in relation to the Service, the arbitration shall be filed in the court having jurisdiction over the location of our head office.

            Article 17 (Development and Maintenance of User Environment)

            1. The User shall, at his/her own expense and responsibility, set up the User's equipment in accordance with the conditions set by the Company and maintain the environment for using the Service.
            2. When using this Service, Users shall, at their own responsibility and expense, connect their facilities to the Internet using the telecommunications services of telecommunications carriers, etc.
            3. If there is a malfunction in the User's equipment, the Internet connection as set forth in the preceding paragraph, or the environment for using the Service, the Company shall not be obligated to provide the User with the Service.

            Article 18 (Liability for damages)

            If a User causes damage to the Company in connection with a violation of these Terms of Use or the use of the Service, the User shall compensate the Company for any damages incurred (including lost profits and attorney's fees).

            Article 19 (Exclusion of Antisocial Forces)

            1. The User and the Company represent and warrant that they are not currently a member of a criminal organization, a member of a criminal organization, a person who has been a member of a criminal organization for less than five years, a quasi-member of a criminal organization, a company related to a criminal organization, a corporate racketeer, a swindler pretending to be a social activist, a special intelligence violent group, or any other person equivalent to these (hereinafter referred to as a "Member of a Crime Organization, etc."), and that they do not fall under any of the following items, and will not fall under any of the following items in the future.
              1. Having a relationship that is deemed to give the control of management to a gang member or other such person
              2. Having a relationship that is deemed to involve substantial involvement of a gang member in the management
              3. Having a relationship that is deemed to be an inappropriate use of a gang member for the purpose of obtaining wrongful benefits for oneself, one's company or a third party, or for the purpose of causing damage to a third party
              4. Having a relationship that is deemed to be involved in providing funds, etc., or convenience, etc., to gang members, etc.
              5. The directors or persons substantially involved in management have socially reprehensible relationships with gang members, etc.
            2. The User and the Company promise not to engage in any of the following acts, either by themselves or through a third party:
              1. Violent demands
              2. Unreasonable demands that go beyond legal responsibility
              3. Threatening behavior or violence in relation to transactions
              4. Spreading rumors, using fraudulent means or using force to damage the other party's credibility or to interfere with the other party's business
              5. Any other acts similar to those listed above
            3. The User and the Company acknowledge and agree that in the event that this Agreement is terminated based on these Terms and Conditions due to this Article, neither party shall be liable to compensate the other party for any damages incurred by the other party.
